1. Acceptance of Terms of Use

1.1 Scope and Agreement

These Terms of Use ("Terms") constitute a legally binding agreement between you and Urbi Kore Inc. ("Urbi Kore," "we," "us," or "our"), governing your access to and use of services provided via our website at www.myurbi.co ("Website") and through our software applications, including but not limited to the "Urbi" application (individually "App" and collectively, "Apps"). Our services include the URBI Kore community management platform and the URBI Konnect marketplace, collectively referred to as the "Service."

1.2 Consent to Terms

By accessing or using the Website, clicking on the "I accept" button, completing the registration process, downloading the App, or utilizing the Service in any capacity, you:

  • Confirm that you are of legal age to form a binding contract with Urbi Kore.
  • Assert that you have the authority to agree to these Terms, whether on your own behalf or on behalf of another entity you represent.

Your agreement to these Terms is a precondition to your access and use of the Service. If you do not agree to be bound by these Terms, you are not authorized to access or use the Website, App, or Services.

CAREFUL CONSIDERATION ADVISED: PLEASE READ THESE TERMS CAREFULLY. YOUR AFFIRMATIVE ACTION IN USING THE SERVICE, CLICKING "I ACCEPT," OR PROCEEDING WITH THE REGISTRATION PROCESS CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO THESE TERMS. SHOULD YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICE, WEBSITE, AND APP.

2. User Classifications and Applicability

These Terms apply to all users of the URBI platform. However, certain provisions apply only to specific user categories. The URBI platform serves the following user types:

2.1 Kore System Users

Property managers, board members, on-site staff, and other property management professionals who access the URBI Kore community management platform. Kore System Users access the platform through a subscription arrangement between Urbi Kore and their property management entity. The terms of that subscription are governed by the applicable subscription agreement or proposal between Urbi Kore and the subscribing entity. Kore System Users are subject to all general provisions of these Terms.

2.2 Community Members (Residents and Tenants)

Individuals who access the URBI platform through a partner property arrangement. The URBI service may be provided as a complimentary offering to residents and tenants either upon new occupancy or at the time of lease renewal within partner properties. Community Members are not charged subscription fees by Urbi Kore for access to the community platform. Community Members may also access the URBI Konnect marketplace to browse, schedule, and pay for services and products offered by third-party vendors.

Community Members are not subject to the Subscription Fees and Payment Terms (Section 9) of these Terms. Payments made by Community Members through the URBI Konnect marketplace are transactional payments to third-party vendors for specific services or products, facilitated through the platform.

2.3 Konnect Marketplace Vendors

Third-party businesses and service providers who list their services and products on the URBI Konnect marketplace. Konnect Marketplace Vendors are independent businesses that operate under their own terms, licenses, and insurance. They are not employees, contractors, or agents of Urbi Kore. Vendor participation on the platform is governed by a separate Vendor Agreement between the vendor and Urbi Kore.

2.4 Applicability

Each section of these Terms that applies to a specific user type is clearly marked. Sections without a specific designation apply to all users. Any agreements or engagements Community Members enter into concerning the URBI service are exclusively between the Community Member and Urbi Kore (for platform access) or between the Community Member and the applicable Konnect Marketplace Vendor (for marketplace transactions), and not with the building owner, property manager, or any associated entities. The provision and use of URBI services are not subject to, nor do they affect, any rent stabilization rights, obligations, or other housing regulations applicable to the building or residency agreements.

"Urbi" is not an intrinsic, permanent, or mandatory service associated with any building's amenities. It is a proprietary service offered by Urbi Kore that may be made available to residents of partner properties at the discretion of Urbi Kore and the property management entity.

3. Platform Overview and Services

3.1 URBI Kore (Community Management Platform)

URBI Kore is a community management platform that enables property managers, board members, and on-site staff to manage community operations, communicate with residents, coordinate amenity bookings, and streamline building administration. URBI Kore is accessed through the Website and/or the App by authorized Kore System Users.

3.2 URBI Konnect (Marketplace)

URBI Konnect is a transactional marketplace accessible exclusively through the App by Community Members. URBI Konnect enables Community Members to browse, schedule, and pay for home services and products offered by independent third-party Konnect Marketplace Vendors. Examples of services available through URBI Konnect include, but are not limited to, house cleaning, handyman services, grocery delivery, dry cleaning, pet care, and other home-related services.

Important: Urbi Kore operates URBI Konnect as a marketplace platform only. Urbi Kore does not provide, perform, or execute any of the services or products listed on URBI Konnect. All services and products are provided exclusively by independent Konnect Marketplace Vendors. Urbi Kore is not responsible for the quality, safety, legality, or any other aspect of the services or products provided by Konnect Marketplace Vendors. Your engagement with a Konnect Marketplace Vendor through the platform creates a direct contractual relationship between you and that vendor.

3.3 Scheduling Through URBI Konnect

[Applies to: Community Members]

To schedule a service through URBI Konnect, you are required to submit all necessary information as prompted by the App interface. It is your responsibility to ensure that any information provided is true, accurate, current, and complete. You commit to promptly update any information provided to maintain its accuracy and completeness over time. Failure to maintain the accuracy and completeness of this information constitutes a breach of these Terms.

3.4 Recurring Transactions

[Applies to: Community Members using URBI Konnect]

Certain services on URBI Konnect may be scheduled on a recurring basis (e.g., biweekly cleaning). Recurring transactions are not subscriptions. You retain full control over recurring transactions and may cancel, skip, or modify any upcoming scheduled service at any time through the App prior to the scheduled date. No cancellation fees apply to recurring transactions cancelled before the scheduled service date, unless otherwise specified by the Konnect Marketplace Vendor's own cancellation policy as displayed at the time of booking.

3.5 Service Eligibility and Termination

We extend our services to users based on adherence to these Terms and applicable laws. While we strive to offer widespread and inclusive service, we reserve the right, to the extent permitted by applicable law, to deny or terminate service to any user at our discretion, should circumstances warrant such action.

4. Third Party Applications and Services

4.1 Access and Authorization

In the delivery of our Service, it may be necessary to interact with various third party software applications and services on your mobile device or through the web ("Third Party Services"). You hereby grant explicit consent and authorization for Urbi Kore to access, interact with, and utilize these Third Party Services on your behalf as required for the operation of the platform.

4.2 User Responsibility and Acknowledgment

You acknowledge and agree that your decision to use Third Party Services in conjunction with our Service is governed by the terms and conditions of those Third Party Services ("Third Party Terms"). You confirm that you have read, understand, and agree to be bound by these Third Party Terms.

4.3 Disclaimer and Limitation of Liability

Urbi Kore does not endorse, is not affiliated with, and has no control over Third Party Services, including their content, policies, or practices. Urbi Kore expressly disclaims any and all responsibility and liability for any actions of Third Party Services, including but not limited to, data use, data loss, or service provision issues.

4.4 Third Party Terms Acknowledgment

By using our Service, you acknowledge and accept that any interactions with Third Party Services, and any consequences that may result from such interactions, fall under the purview of the Third Party Terms, and not Urbi Kore.

5. Registration and Accounts

5.1 Account Creation Requirements

To access the Service, you are required to register for and create a user account ("Account"). You must be at least 18 years of age to create an Account. During the account setup process, you will create login credentials by providing certain personal information ("Login Credentials"). For details on the specific types of personal information collected and how it is used, please refer to our Privacy Policy.

5.2 Account Information Integrity

By registering for the Service, you commit to:

  • Provide true, accurate, current, and complete information about yourself as requested by our registration form ("Registration Data").
  • Maintain and promptly update the Registration Data as necessary to ensure it remains true, accurate, current, and complete.
  • For Community Members: affirm that you have a legitimate interest in the property (e.g., your residence) to which the URBI community platform is associated.
  • Maintain the confidentiality of your Login Credentials. You agree to accept responsibility for all activities that occur under your Account. You must not allow any third party to use your Login Credentials. Urbi Kore reserves the right to terminate any Account if it is suspected that Login Credentials have been used by an unauthorized third party.

5.3 Prohibitions on Account Creation

  • You agree not to create an Account under a false identity or with false information, nor on behalf of someone other than yourself.
  • You agree not to create an Account or use the Service if you have been previously removed or banned from the Service by Urbi Kore.
  • Urbi Kore reserves the right to terminate your Account if we reasonably believe that you have violated any of the commitments outlined in this section.

6. Integration with Third Party Accounts

6.1 Linking Accounts

You may have the option to connect your Account with various third-party social networking services and applications (e.g., Facebook), collectively referred to as "Third Party Accounts", by providing your Third Party Account login credentials directly to us or by permitting us to access your Third Party Account.

6.2 User Representations

By linking a Third Party Account, you affirm that you are legally authorized to disclose your Third Party Account login information to us and/or grant us access without violating any terms governing your use of that Third Party Account, and that such disclosure does not require us to pay any fees or subject us to usage limitations.

6.3 Autonomy of Third Party Relationships

Your interactions and legal relationship with the providers of Third Party Accounts are regulated solely by your agreement(s) with such providers. Urbi Kore is not a party to those agreements.

6.4 Disclaimer

Urbi Kore expressly disclaims any liability for the actions or omissions of any Third Party Account or service provider. By linking your Account with any Third Party Account, you do so at your own risk.

7. Data Protection and Privacy

7.1 Privacy Policy

Urbi Kore is committed to protecting the privacy of its users. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, accessible on our Website, which forms part of these Terms.

7.2 Compliance with Canadian Privacy Law

Urbi Kore complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Personal Information Protection Act (PIPA) of Alberta in its handling of personal information.

7.3 Data Processing and Storage

Your personal information may be processed and stored on servers located in the United States through our third-party service providers, including Supabase (hosted on Amazon Web Services) for application data, Stripe for payment processing, and Twilio for communications services. By using the Service, you acknowledge and consent to the transfer of your personal information to the United States for processing and storage. All third-party service providers are contractually bound to protect your personal information to a standard equivalent to Canadian privacy law.

7.4 Data Breach Notification

In the event of a breach of security safeguards involving your personal information that creates a real risk of significant harm, Urbi Kore will:

  • Notify the Office of the Privacy Commissioner of Canada as required by law.
  • Notify affected individuals within 96 hours of confirming the breach.
  • Include in the notification a description of the breach, the types of personal information involved, the steps we are taking to reduce the risk of harm, and steps you can take to protect yourself.
  • Maintain records of all breaches for a minimum of 24 months as required by law.

7.5 Data Retention and Deletion

We retain your personal information only as long as necessary for the purposes described in our Privacy Policy or as required by law. Upon account termination, we will delete or anonymize your personal information within 90 days, except where retention is required by law. You may request deletion of your personal information at any time by contacting us at hello@myurbi.co.

8. Licenses Granted

8.1 License Provision

Urbi Kore hereby grants you a non-exclusive, personal, revocable, limited, non-transferable license to use the App on devices that you own or control, specifically: (i) iPhone, iPad, or iPod Touch devices, subject to the terms of the Apple App Store, or (ii) Android-enabled devices, subject to the terms of the Google Play marketplace or any analogous platform ("App Store"). This license is conditioned upon your compliance with all applicable third-party terms. This license terminates immediately upon termination of your Account.

8.2 Use Restrictions

You agree not to:

  • License, sell, rent, lease, transfer, assign, distribute, host, or commercially exploit Urbi Kore Properties, or any part thereof.
  • Employ framing techniques to enclose any Urbi Kore trademark, logo, or other proprietary information without express written consent.
  • Utilize metatags or any other "hidden text" employing Urbi Kore's names or trademarks without express written consent.
  • Alter, adapt, merge, create derivative works from, disassemble, decompile, reverse compile, or reverse engineer any part of Urbi Kore Properties, except as allowed under applicable law.
  • Use any automated means to access, scrape, or download any part of Urbi Kore Properties unless expressly permitted.
  • Access Urbi Kore Properties to create a competitive product or service.
  • Copy, reproduce, distribute, republish, download, display, post, or transmit any part of Urbi Kore Properties except as expressly permitted.
  • Remove or alter any copyright notices or proprietary markings.
  • Utilize Urbi Kore Properties for any unlawful purposes.

8.3 Termination of License

Unauthorized use of Urbi Kore Properties will result in the immediate termination of the licenses granted hereunder.

8.4 Updates and Upgrades

Urbi Kore may provide updates or upgrades to the App from time to time, subject to the terms then in effect. Urbi Kore is under no obligation to provide support, corrections, updates, upgrades, bug fixes, or enhancements.

8.5 Reservation of Rights

Urbi Kore reserves any and all rights not expressly granted to you under these Terms.

9. Subscription Fees and Payment Terms

[Applies to: Kore System Users and their subscribing entities only. Community Members are not subject to this section. Payments made by Community Members through the URBI Konnect marketplace are governed by Section 10.]

9.1 Service Subscription Fees

Subscription fees for URBI Kore are determined on a per-property and per-proposal basis and will be communicated in writing to the subscribing entity prior to subscription commencement. By entering into a subscription agreement with Urbi Kore, the subscribing entity commits to paying the applicable subscription fee starting from the Service Commencement Date. A contractual agreement for the Services is established upon Urbi Kore's acceptance of the subscribing entity's order.

9.2 Payment Obligations

The subscribing entity is obligated to pay all fees and charges incurred in connection with its Account according to the pricing, charges, and billing terms communicated at the time of subscription or as updated in accordance with Section 9.4. Urbi Kore has partnered with Stripe for secure payment processing.

9.3 Additional Fees

In addition to the subscription fee, additional fees may apply. These may include a credit card processing fee, a service fee, and other charges as determined on a per-property basis and communicated in the subscription agreement or proposal prior to commencement. These fees support the ongoing maintenance and enhancement of our technology and service quality.

9.4 Changes in Fees and Billing

Urbi Kore reserves the right to modify its prices and billing methods. Such changes will be communicated via email no less than 30 days before taking effect. If a fee increase exceeds 20% of the then-current rate, the subscribing entity may cancel the subscription without penalty before the new fees take effect by contacting us at hello@myurbi.co.

9.5 Automatic Renewal

Subscriptions will automatically renew at the end of each term unless the subscribing entity cancels no later than 7 days prior to the renewal date. Urbi Kore will send a renewal reminder via email at least 14 days before the renewal date. Cancellations can be made through the platform or by contacting hello@myurbi.co.

9.6 Post-Cancellation Access

If the subscribing entity cancels its subscription, it will retain access until the end of the current subscription term. No prorated refunds will be issued for the ongoing subscription period.

10. URBI Konnect Marketplace Transactions

[Applies to: Community Members using URBI Konnect]

10.1 Nature of Transactions

All transactions made through URBI Konnect are direct transactions between you (the Community Member) and the Konnect Marketplace Vendor providing the service or product. Urbi Kore facilitates these transactions by providing the marketplace platform and processing payments on behalf of the vendor. Urbi Kore is not a party to the contract for services between you and the vendor.

10.2 Payment Processing

When you purchase a service or product through URBI Konnect, your payment is processed through Stripe and relayed to the applicable Konnect Marketplace Vendor. By making a purchase through URBI Konnect, you agree to Stripe's Terms of Service and to provide valid payment information. Your agreement with your payment provider governs the use of your designated payment method.

10.3 Pricing and Fees

The prices for services and products on URBI Konnect are set by the Konnect Marketplace Vendors. A platform transaction fee may be applied to transactions processed through the marketplace. All applicable fees will be displayed to you at the time of checkout before you confirm your purchase.

10.4 Refunds and Disputes

Refund policies for services and products purchased through URBI Konnect are determined by the applicable Konnect Marketplace Vendor. If you have a dispute regarding a service or product, you should first attempt to resolve it directly with the vendor. If you are unable to resolve the issue, you may contact Urbi Kore at hello@myurbi.co for assistance in mediating the dispute. Urbi Kore will make reasonable efforts to facilitate resolution but is not responsible for the outcome of disputes between Community Members and Konnect Marketplace Vendors.

10.5 Vendor Responsibility

Konnect Marketplace Vendors are solely responsible for the services and products they provide, including quality, safety, legality, licensing, insurance, and compliance with applicable laws and regulations. Urbi Kore does not guarantee, endorse, or warrant any services or products offered through the URBI Konnect marketplace.

10.6 Access and Property Entry

If a service booked through URBI Konnect requires the vendor to access your property, you are solely responsible for coordinating access with the vendor. This may include providing keys or access codes directly to the vendor, coordinating with your building's concierge or front desk, or being present at the time of service. Urbi Kore may notify on-site concierge or building staff of a scheduled vendor visit through the platform, but Urbi Kore does not manage, hold, or handle keys or access credentials at any time. The provision of property access is a matter between you and the vendor.

11. Communications Policy

11.1 Types of Communications

Urbi Kore and its platform facilitate two categories of electronic communications:

(a) Transactional and Service Communications: messages directly related to the operation of your account and the Service, including account confirmations, booking confirmations, payment receipts, service status updates, security alerts, password resets, system updates regarding new features or changes to the platform, and legally required notices. Additionally, property managers and community administrators may send messages to Community Members through the URBI platform regarding community matters, building announcements, and property-related communications. These communications are initiated by your property management team, not by Urbi Kore for marketing purposes.

(b) Commercial Communications: Urbi Kore does not currently send marketing or promotional electronic messages. If this changes in the future, we will obtain your express opt-in consent in compliance with Canada's Anti-Spam Legislation (CASL) before sending any such communications. Consent for commercial communications will never be a condition of using the Service.

11.2 SMS/Text Message Communications

Text messages from Urbi Kore are limited to transactional purposes, including password resets and account security notifications. If you initiate a text conversation with Urbi Kore (e.g., through an in-app messaging feature), we will respond via text to that conversation. By providing your mobile phone number and using the Service, you consent to receive these transactional text messages. Message and data rates may apply. Message frequency varies based on your account activity. You may opt out of non-essential text messages at any time by replying STOP to any message. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

11.3 Opt-Out and Preferences

You may manage your communication preferences, including opting out of non-essential notifications, through the notification settings in your Account within the App. Certain communications related to the core operation of the Service (such as security alerts, payment confirmations, and legally required notices) cannot be opted out of while your account remains active.

11.4 Sender Identification

All electronic messages from Urbi Kore include our legal name (Urbi Kore Inc.) and a method to contact us directly. Messages sent by property managers through the URBI platform will identify the sender and include their reply-to contact information.

11.5 Effectiveness of Notices

Communications from Urbi Kore are considered effective at the moment they are sent (for emails and text messages) or at the time they are made available on the Website or within your Account (for posted notices).

11.6 Contact Information Updates

Please keep your contact information up to date in your Account settings to ensure you receive important communications.

12. Code of Conduct

To maintain a safe, respectful, and productive environment for all platform participants, including Community Members, Konnect Marketplace Vendors, property management professionals, and on-site staff, all users agree to the following standards of conduct.

12.1 General Conduct Standards

All users of the URBI platform agree not to:

  • Physically harm, threaten harm, intentionally or recklessly endanger the health and safety of any other platform participant.
  • Make or attempt any unwanted sexual advances or comments towards any other platform participant.
  • Engage in threatening, harassing, stalking, intimidating, aggressive, bullying, or any behavior that infringes on the peace and dignity of any other platform participant.
  • Use vulgar, obscene language or conduct yourself in a manner likely to cause discomfort, embarrassment, or offense.
  • Discriminate against any platform participant on the basis of race, color, sex, age, national origin, disability, sexual orientation, religion, or any other protected characteristic.
  • Provide false, misleading, or fraudulent information through the platform.
  • Use the platform for any unlawful purpose.

12.2 Community Member Specific Conduct

[Applies to: Community Members]

In addition to the general conduct standards, Community Members agree not to:

  • Circumvent the URBI Konnect marketplace by soliciting, arranging, or engaging in direct off-platform transactions with Konnect Marketplace Vendors discovered through the platform. This includes, but is not limited to, requesting a vendor's personal contact information for the purpose of bypassing the platform, negotiating side agreements with vendors to avoid platform fees, or directing vendors to alternative payment methods outside of the platform.
  • Misuse the booking or scheduling system, including making fraudulent bookings, repeatedly failing to be available for scheduled services, or abusing cancellation policies.

12.3 Konnect Marketplace Vendor Specific Conduct

[Applies to: Konnect Marketplace Vendors]

In addition to the general conduct standards, Konnect Marketplace Vendors agree not to:

  • Solicit Community Members for off-platform transactions or provide personal contact information for the purpose of bypassing the URBI Konnect marketplace.
  • Misrepresent qualifications, licensing, insurance, or the nature or quality of services or products offered.
  • Fail to perform booked services without reasonable notice and justification.
  • Enter or remain on a Community Member's property without proper authorization.

12.4 Consequences of Violation

Violating this Code of Conduct constitutes a material breach of these Terms. Urbi Kore reserves the right to immediately and without penalty: suspend or terminate the violating user's Account and access to the Service, remove any listings or content associated with the violating user, withhold or reverse any payments related to the violation, and pursue any other remedies available under these Terms or applicable law. The determination of whether a violation has occurred is at Urbi Kore's sole discretion.

12.5 Reporting

We encourage all users to report any behavior that violates this Code of Conduct by contacting us at hello@myurbi.co. All reports will be reviewed and appropriate action will be taken.

13. Ownership Rights and Intellectual Property

13.1 Ownership

All rights, title, and interest in and to Urbi Kore Properties, including but not limited to design, layout, logo, text, code, and graphics ("Urbi Kore Content"), are and shall remain the exclusive property of Urbi Kore, protected under Canadian and international copyright and trademark laws. No ownership rights are transferred to you under these Terms.

13.2 Third-Party Content

The Service may display trademarks, logos, images, and content belonging to third parties, including Konnect Marketplace Vendors. Ownership remains with the respective owners. Your use of the Service does not grant you any rights to use Third-Party Content without explicit permission.

13.3 License to Use Urbi Kore Content

Subject to your compliance with these Terms, Urbi Kore grants you a non-exclusive, non-transferable, revocable license to access and use Urbi Kore Content solely for your personal, non-commercial use of the Services.

13.4 Prohibitions

You may not use, copy, adapt, modify, prepare derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit Urbi Kore Properties except as expressly permitted.

13.5 Reservation of Rights

All rights not expressly granted herein are reserved to Urbi Kore and its licensors.

14. Disclaimer of Warranties

14.1 Acknowledgment of Risks

Your use of the Service is at your sole risk. Urbi Kore Properties and Content are offered on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind to the fullest extent permissible under applicable law.

14.2 Warranty Disclaimers

Urbi Kore expressly disclaims all warranties and conditions, whether express, implied, or statutory, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We aim to maintain reasonable availability of the platform but do not guarantee uninterrupted access.

14.3 Marketplace Disclaimer

Urbi Kore does not warrant, endorse, guarantee, or assume responsibility for any service or product offered by Konnect Marketplace Vendors through the URBI Konnect marketplace. Urbi Kore is not responsible for and disclaims all liability for the actions, omissions, quality, safety, legality, or any other aspect of any Konnect Marketplace Vendor or the services and products they provide. Any interactions, agreements, or disputes between you and a Konnect Marketplace Vendor are solely between you and that vendor.

14.4 No Warranty for Third-Party Services

You understand that Urbi Kore uses third-party apps and services to deliver its platform. Urbi Kore disclaims all warranties and liabilities concerning these third-party services.

14.5 No Implied Warranties from Information

No advice or information, whether oral or written, obtained from Urbi Kore or through the Service shall create any warranty not expressly stated in these Terms.

15. Acknowledgment and Assumption of Risk

15.1 Community Activities

You fully understand and agree that participating in any community activities, including but not limited to fitness classes and the use of any associated exercise equipment, is entirely at your own risk. No representative from the building owner or its managing agent will supervise these activities.

15.2 Health and Safety Representation

You affirm that you are in suitable physical condition to engage in such activities and do not have any condition that could pose a risk to yourself, other participants, or instructors.

15.3 Marketplace Services

You acknowledge that services obtained through the URBI Konnect marketplace are provided by independent third-party vendors. You assume all risk associated with engaging a vendor through the marketplace, including but not limited to the quality and safety of services performed in your home.

15.4 Indemnification for Community Activities

Should any injury or damages occur due to misrepresentation of your physical or mental fitness for community activities, you agree to defend, indemnify, and hold harmless Urbi Kore, the building owner, its managing agent, and their respective employees and agents. Both the building owner and its managing agent are recognized as third-party beneficiaries of this clause.

16. Waiver and Release of Liability

16.1 Liability Release

You acknowledge and accept that Urbi Kore, the building owner, and its managing agent shall not be liable for any injuries, damages, or losses you may suffer as a result of participating in community activities or engaging services through the URBI Konnect marketplace.

16.2 Comprehensive Release

On behalf of yourself and any claiming party related to you, you hereby release Urbi Kore, the building owner, its managing agent, and their affiliates from any future claims related to your participation in community activities or your use of the URBI Konnect marketplace. This release covers all forms of claims, whether known or unknown, arising out of your participation or under this agreement, to the extent permissible by the laws of the Province of Alberta and Canada.

17. Limitation of Liability

17.1 Scope

To the fullest extent permitted by applicable law, Urbi Kore shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, data loss, business interruption, or any other commercial damages or losses, arising from your use of or inability to use the Service. This limitation applies regardless of the legal theory and even if Urbi Kore has been informed of the possibility of such damages.

17.2 Marketplace Limitation

Without limiting the generality of Section 17.1, Urbi Kore shall not be liable for any damages, losses, or injuries arising from or related to services or products provided by Konnect Marketplace Vendors, including but not limited to property damage, personal injury, or loss resulting from vendor negligence, incompetence, or misconduct.

17.3 Monetary Cap

Urbi Kore's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amounts you have paid to Urbi Kore in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars ($100 CAD). This cap on liability applies equally to both parties.

17.4 Essential Purpose

These limitations of liability apply even if the remedy specified in these Terms fails its essential purpose.

17.5 Acknowledgment

By agreeing to these Terms, you understand that these limitations on liability are an agreed allocation of risk between you and Urbi Kore. The fees and structure of the platform reflect this allocation of risk.

18. Transactions Involving Alcohol

[Applies to: Community Members using URBI Konnect]

18.1 Age Requirement

Alcoholic beverages may only be purchased for, or delivered to, individuals who meet the legal minimum age for the purchase and consumption of alcoholic beverages in their jurisdiction. In Alberta, the legal minimum age is eighteen (18) years. By initiating any transaction involving alcoholic beverages through URBI Konnect, you affirmatively represent and warrant that you meet the applicable legal age requirement.

18.2 Age Verification

You agree to provide, upon request, valid, government-issued photo identification to the Konnect Marketplace Vendor before the purchase or delivery of any alcoholic beverages.

18.3 Compliance

Both you and the Konnect Marketplace Vendor are responsible for compliance with all applicable laws and regulations regarding the sale, purchase, and delivery of alcoholic beverages. The vendor reserves the right to refuse delivery if compliance cannot be established. Urbi Kore is not responsible for the sale, delivery, or consumption of alcoholic beverages facilitated through the marketplace.

19. Feedback Provision and Use

When you submit feedback, comments, or suggestions about the platform ("Feedback"), you grant Urbi Kore a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback without compensation to you. Feedback is considered non-confidential and non-proprietary. By providing Feedback, you represent that it is based on your own experiences and does not infringe on the intellectual property rights of any third party. Please do not share information you consider confidential or proprietary.

20. Indemnification

20.1 Your Indemnification of Urbi Kore

You agree to indemnify, defend, and hold harmless Urbi Kore and its partners, licensors, affiliates, contractors, officers, directors, employees, and agents (collectively, the "Urbi Kore Parties") from and against any liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your negligent acts, omissions, or willful misconduct; (b) your use of or access to the Service; (c) any violation of these Terms by you; (d) your violation of any law or the rights of any third party; and (e) any dispute between you and a Konnect Marketplace Vendor.

20.2 Urbi Kore's Indemnification of You

Urbi Kore agrees to indemnify, defend, and hold harmless you from and against any liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from: (a) any claim that the URBI platform itself infringes the intellectual property rights of a third party; and (b) any claim arising from the gross negligence or willful misconduct of Urbi Kore in operating the platform.

20.3 Right to Defense

Each party reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the other party. The indemnified party will cooperate with the indemnifying party in asserting any available defenses.

20.4 Survival

Indemnification obligations survive the termination of your Account and these Terms.

21. Release of Liability

You hereby release Urbi Kore Parties and their successors from all claims, demands, losses, damages, rights, and actions of any kind, including personal injury, death, and property damage, that are directly or indirectly related to or arise from your use of the Service, any interactions with Konnect Marketplace Vendors, or any third-party services encountered through the platform, to the extent permissible by the laws of the Province of Alberta and Canada. The provisions of this release are intended to be as broad and inclusive as permitted by Alberta law. If any portion is held invalid, the balance shall continue in full legal force and effect.

22. Equitable Remedies

You acknowledge that a breach of these Terms may cause irreparable harm to Urbi Kore that may be difficult to quantify. You agree that Urbi Kore shall have the right to seek immediate injunctive relief and any other equitable remedies, without the necessity of posting a bond or proving actual damages, in addition to any other rights and remedies available at law.

23. Arbitration Agreement and Governing Law

23.1 Careful Consideration Required

This Arbitration Agreement significantly impacts your legal rights, including the waiver of a jury trial and participation in class actions. Please review thoroughly before agreeing.

23.2 Mediation Prerequisite

Before initiating arbitration, both parties agree to attempt to resolve any dispute through good faith mediation. Either party may initiate mediation by providing written notice. The parties will mutually agree on a mediator within 14 days. If mediation does not resolve the dispute within 30 days, either party may proceed to arbitration.

23.3 Small Claims Court Exception

Either party may bring a claim in the Provincial Court of Alberta (Small Claims Court) for disputes where the amount does not exceed $10,000 CAD.

23.4 Scope of Arbitration

Except as provided in Sections 23.2 and 23.3, all disputes arising between you and Urbi Kore shall be resolved through mandatory binding arbitration in Calgary, Alberta, Canada. This agreement to arbitrate is to be broadly interpreted.

23.5 Waiver of Jury Trial and Class Actions

Both you and Urbi Kore waive the right to a trial by jury or to participate in a class action. Claims must be brought on an individual basis.

23.6 Arbitration Procedures

Arbitration will be conducted under the Alberta Arbitration Act, RSA 2000, c A-43. For claims under $10,000 CAD, arbitration will be based on written submissions unless both parties agree otherwise. For larger claims, hearings may be conducted in person in Calgary or remotely by video conference at either party's request. The arbitrator's decision shall be final and binding.

23.7 Jurisdiction for Non-Arbitrable Disputes

If the arbitration agreement is found unenforceable, disputes shall be subject to the exclusive jurisdiction of the courts of Calgary, Alberta, Canada.

23.8 Governing Law

This Agreement shall be governed by the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to conflict of law provisions.

24. Application Store Additional Terms

  • This Agreement is solely between you and Urbi Kore, not with any Application Store. Urbi Kore is exclusively responsible for the App.
  • The license granted is a non-transferable license to use the App on an iOS or Android device you own or control.
  • Urbi Kore will solely provide maintenance and support services for the App.
  • Urbi Kore is responsible for product warranties to the extent not disclaimed.
  • Urbi Kore is responsible for all claims relating to the App, including product liability, legal compliance, and consumer protection claims.
  • Urbi Kore is responsible for any intellectual property infringement claims.
  • You represent that you are not located in an embargoed country or on any prohibited parties list.
  • Contact Urbi Kore at hello@myurbi.co for any questions, complaints, or claims.
  • You agree to comply with all applicable third-party terms.
  • The Application Store and its subsidiaries are third-party beneficiaries of these Terms.

25. Modification of Terms

Urbi Kore reserves the right to update or modify these Terms at any time. Changes are effective immediately for new users and, for existing users, thirty (30) days after posting notice on the Website or within the App. For material modifications, we will notify you via email. We may require your express consent to updated Terms. If you disagree with any changes, you must cease using the Service. Continued use after the effective date constitutes acceptance of the updated Terms.

26. Termination of Service

26.1 By Urbi Kore

Urbi Kore reserves the right to cancel, suspend, or block your access to the Service without prior notice in the event of any breach of these Terms. Upon termination, your right to use the Service ceases immediately, and your data may be deleted in accordance with our Privacy Policy, except as required by law.

26.2 By You

You have the right to terminate your Account at any time. Upon termination, all rights granted under these Terms cease immediately.

26.3 Consequences

Urbi Kore is not obligated to maintain, return, or provide copies of your data after account termination, except as described in our Privacy Policy. Provisions that by their nature should survive termination will remain in effect, including ownership, warranty disclaimers, indemnity, and limitations of liability.

27. Consumer Complaints

This Agreement is subject to the protections provided under the Alberta Fair Trading Act. Urbi Kore ensures all practices related to the sale, refund, and cancellation of services adhere to Alberta's consumer protection laws. If you have a complaint regarding the Service, please contact us at hello@myurbi.co with a description of your concern.

28. General Provisions

28.1 Enforcement and Waiver

The failure of Urbi Kore to enforce any right or provision will not constitute a waiver unless acknowledged in writing.

28.2 Severability

If any provision is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary or eliminated without affecting the remaining provisions.

28.3 Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control, including acts of God, natural disasters, pandemics, wars, government actions, labor strikes, or disruptions in telecommunications, utilities, or Internet services. The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact. If a force majeure event continues for more than ninety (90) days, either party may terminate this Agreement upon written notice.

28.4 Admissibility

A printed version of these Terms and of any electronic notice shall be admissible in judicial or administrative proceedings to the same extent as other business documents.

28.5 Electronic Contracts

Contracts completed electronically through the App or Website are considered in writing, signed, and legally binding.
