URBI Terms of Service

Welcome to URBI! These Terms of Service ("Terms") govern your access to and use of the URBI platform, including the URBI Konnect marketplace, the website www.myurbi.co, and any related mobile applications, software, or services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

1.1 Binding Agreement

These Terms form a binding legal agreement between you ("you," "user," or "vendor") and URBI ("URBI," "we," "us," "our"). By creating an account, browsing our website, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms.

1.2 Additional Policies

Your use of the Platform is also subject to our Privacy Policy, Refund Policy, and any additional guidelines, policies, or terms posted on the Platform from time to time (collectively, the "Policies"). These Policies are incorporated by reference into these Terms.

2. About URBI

2.1 Nature of Services

URBI is a digital marketplace and community management solution designed to connect residents with local service providers ("vendors") for a variety of home services, property management tasks, and community-related needs. URBI facilitates:

  • Service Listings: Vendors can list available services, pricing, and schedules.
  • Booking & Payment: Users can request, schedule, and pay for services through the Platform.
  • Vendor Management: Vendors can manage service requests, communicate with customers, and track bookings.

2.2 Neutral Facilitator

URBI is not a party to any contract formed between users and vendors. We do not endorse or guarantee the quality, legality, or suitability of services provided. We act solely as a facilitator and are not liable for any aspect of user-to-vendor transactions.

3. Eligibility & Account Registration

3.1 Eligibility Requirements

  • You must be at least 18 years old to use the Platform.
  • If you are registering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3.2 Account Registration

  • To access certain features (e.g., booking services or creating vendor listings), you must register for an account.
  • You agree to provide accurate, up-to-date information and to promptly update your details if they change.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.3 Account Suspension/Termination

We reserve the right to suspend or terminate any account if we believe, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the safety or integrity of the Platform.

4. Vendor Obligations

4.1 Compliance with Laws & Regulations

Vendors are solely responsible for ensuring they hold all necessary licenses, permits, and approvals to offer their services. Vendors must comply with all relevant laws, regulations, and industry standards.

4.2 Accurate Listings

Vendors must provide accurate descriptions, pricing, and availability for their services. Misrepresentation may lead to the removal of listings or suspension of the vendor account.

4.3 Quality & Performance

Vendors must deliver services in a timely, professional, and high-quality manner. Consistent cancellations, failure to meet customer expectations, or breach of these Terms may result in penalties or removal from the Platform.

4.4 Timely Updates

Vendors are responsible for updating service availability promptly and communicating any changes or cancellations with the user to minimize inconvenience.

5. Booking & Payment

5.1 Platform Exclusivity

All service bookings and payments must be processed through the URBI Platform. Users and vendors agree not to circumvent the Platform by conducting transactions or communications outside of URBI unless expressly permitted in writing.

5.2 Fees & Charges

  • Vendor-Paid Fees: Depending on the product, URBI's fees are paid by the vendor and not by the resident. Any fees or charges owed to URBI for the use of the Platform will be collected from the vendor as applicable.
  • Taxes: Users and vendors are responsible for any taxes or duties associated with their transactions, including sales, use, VAT, GST, or any other applicable taxes.

5.3 Payment Processing (via Stripe)

  • Stripe: All payments made through the Platform are processed by our third-party payment processor, Stripe. By using the Platform, you also agree to abide by Stripe's terms and conditions and any applicable laws or regulations governing payment processing.
  • Vendor Payouts: Vendors receive payments (minus any applicable URBI fees agreed upon with the vendor) after completion of services, subject to Stripe's processing times and policies.
  • Disputes: If a user disputes a charge, URBI will investigate in good faith. We reserve the right to suspend payouts until the dispute is resolved.

6. Cancellations & Refunds

6.1 User Cancellations

Cancellation Period: Cancellations are allowed and will be fully refunded as long as the user requests cancellation within the cancellation period set by the vendor. The vendor's individual policy will dictate the exact cancellation period and refund eligibility.

6.2 Late Cancellations

  • Vendor Discretion: If a cancellation request is made after the vendor's specified cancellation period has passed, URBI will contact the vendor to determine whether a full or partial refund is possible.
  • Conditions: A full refund may be denied if the product or service has already been created, prepared, or purchased for the order (e.g., custom or non-perishable items). Ultimately, the vendor has the sole discretion to approve or deny late cancellation refunds.

7. User Responsibilities

7.1 Accurate Information

Users must provide accurate information when booking services and promptly communicate any relevant details (e.g., access instructions, special requests, or changes to the service location).

7.2 Safe Environment

Users must ensure that the service location is safe and accessible for vendors to perform the booked services. Any hazards or special requirements must be disclosed in advance.

7.3 Feedback & Reviews

Users may leave honest feedback and ratings for vendors. However, reviews must not contain abusive, defamatory, or harassing content. URBI reserves the right to remove reviews that violate these Terms.

8. Prohibited Activities

You agree not to engage in any of the following activities ("Prohibited Activities"):

  1. Illegal or Fraudulent Use: Using the Platform for any unlawful activities, money laundering, or fraudulent transactions.
  2. Harassment or Discrimination: Posting or sharing content that is hateful, harassing, defamatory, or discriminatory.
  3. Intellectual Property Infringement: Uploading or distributing any content that violates another party's copyright, trademark, or other intellectual property rights.
  4. Platform Misuse: Circumventing or attempting to circumvent our security measures, payment systems, or interfering with the normal operation of the Platform.
  5. Data Scraping: Using automated methods (bots, spiders, crawlers) to collect data from the Platform without explicit permission.

Violations of these Prohibited Activities may result in immediate suspension or termination of your account and any applicable legal action.

9. Intellectual Property

9.1 URBI IP

All content on the Platform, including text, graphics, logos, icons, images, software, and other materials, is the property of URBI or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute URBI's trademarks, service marks, or copyrighted material without our prior written permission.

9.2 User Content

By posting or submitting content (including reviews, feedback, or other materials) on the Platform, you grant URBI a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and create derivative works of such content in connection with operating and marketing the Platform.

9.3 Claims of Infringement

If you believe your intellectual property rights have been infringed, please contact us at hello@myurbi.co with all relevant details so we can investigate and take appropriate action.

10. Privacy & Data Protection

10.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, store, and process your personal information. By using the Platform, you consent to our data practices.

10.2 Data Security

We implement commercially reasonable measures to protect your personal data. However, no system is entirely foolproof, and we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk.

  • No Credit Card Storage: URBI does not store or hold any credit card information on its servers. All payment data and credit card details are securely handled and processed by Stripe, our third-party payment processor.
  • Stripe Compliance: By using the Platform, you agree to Stripe's terms and conditions for payment processing, which adhere to industry standards for data security and regulatory compliance.

11. Disclaimers & Warranties

11.1 No Warranty on Services

URBI provides the Platform on an "as is" and "as available" basis without any warranties, express or implied. We do not warrant the reliability, quality, or suitability of any vendor or service listed on the Platform.

11.2 Third-Party Content

The Platform may contain links to third-party websites or resources. URBI is not responsible or liable for the availability, accuracy, content, or policies of third-party resources.

11.3 No Endorsement

Any reference to a specific vendor, product, or service on the Platform does not constitute or imply URBI's endorsement, recommendation, or favoring of that vendor, product, or service.

11.4 Limitations

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, URBI's warranties will be limited to the fullest extent permitted by applicable law.

12. Limitation of Liability

12.1 Scope of Liability

To the maximum extent permitted by law, URBI (including our officers, directors, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenues, arising from or related to your use of the Platform or any services booked through the Platform.

12.2 Aggregate Liability

In no event will URBI's aggregate liability for all claims arising out of or related to these Terms exceed the total amount paid by you to URBI (if any) in the twelve (12) months preceding the claim.

12.3 User & Vendor Responsibility

URBI does not control the conduct of users or vendors. You acknowledge that any contractual or legal remedy arising from services booked via the Platform lies solely with the user or vendor, as applicable.

13. Indemnification

You agree to defend, indemnify, and hold harmless URBI and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from or related to:

  1. Your use or misuse of the Platform;
  2. Your breach of these Terms or any applicable laws;
  3. Any claim that your content infringes upon or misappropriates any third-party rights;
  4. Any dispute between you and a vendor or another user.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms and any disputes relating to them or the Platform will be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Informal Resolution

Before initiating any legal action, you agree to contact us at hello@myurbi.co to attempt to resolve any dispute informally. We will use good faith efforts to resolve the dispute within 30 days.

14.3 Arbitration Clause (Optional)

If a dispute cannot be resolved informally, it may be resolved through binding arbitration conducted under the Alberta Arbitration Act, RSA 2000, c A-43, in Calgary, Alberta, Canada. You agree that any dispute will be conducted on an individual basis, and you waive any right to participate in a class or collective action.

15. Changes to Terms

We reserve the right to modify or update these Terms at any time in our sole discretion. If we make material changes, we will notify you by email or via a prominent notice on the Platform. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

16. Severability & Entire Agreement

16.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.2 Entire Agreement

These Terms, together with any applicable Policies, constitute the entire agreement between you and URBI regarding your use of the Platform and supersede all prior agreements, understandings, or communications.

17. Force Majeure

URBI shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, governmental orders, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18. Assignment

You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent. URBI may assign or transfer these Terms, at its sole discretion, without restriction.
